Terms of Use

1. The Service & Purpose

Topify connects to Google Search Console (GSC) and your Shopify store (read-only scopes) to collect, store, and visualize search performance data; provide analytics (e.g., queries, pages, CTR, position); and deliver optional AI-assisted insights (e.g., clustering, content suggestions, revenue impact estimates). Some features may rely on sampling, modeling, or third-party services.

2. Eligibility & Accounts

You must be at least 18 and able to form a binding contract. To use Topify you need:

• A Shopify store and permission to install apps;
• A Google account with access to the relevant GSC property/properties.

You are responsible for maintaining the security of your Shopify and Google accounts and for any actions taken under your account.

3. Permissions & Third-Party Terms

By using Topify you authorize us to access your data from Google and Shopify under the read-only scopes you grant. Your use of GSC and Shopify remains subject to their respective terms and policies. You agree not to attempt to circumvent platform limits or quotas.

4. Data We Process

Customer Data may include:

• GSC search performance (queries, pages, impressions, clicks, CTR, positions, countries, devices, dates);
• Your store metadata (domain, locale, etc.);
• Optional business metrics you provide (e.g., product/category revenue for modeling);
• OAuth tokens/credentials necessary to fetch data (encrypted at rest);
• Aggregated usage metrics for reliability and product improvement.

We access GSC in read-only mode (webmasters.readonly). We do not modify your site, ads, or analytics properties.

5. Data Retention & Deletion

While you use the Service, we retain Customer Data to power dashboards, exports, and historical comparisons.

• Upon uninstall or written request, we revoke tokens and delete or anonymize Customer Data within 30 days, except where we must retain limited records for legal, security, or accounting purposes.
• Aggregated statistics that cannot reasonably identify you may be retained to improve the Service.
• You may export your reports while your subscription is active.

6. Plans, Trials, Billing

We offer Free and Paid plans as shown on our Pricing page. Paid plans are billed in advance on a subscription basis (monthly unless stated otherwise). Taxes may apply.

• Trials (if any) convert to paid unless you cancel before the trial ends.
• Fees are non-refundable except where required by law.
• You may cancel at any time; access continues until the end of the current billing period.
• We may change prices or features with reasonable notice; changes take effect on your next renewal.

7. Acceptable Use

You will not:

• Use the Service to violate laws, platform terms, or third-party rights;
• Attempt to extract or resell Google or Shopify data in ways that violate their policies;
• Reverse engineer, interfere with, or overload our systems;
• Use the Service to generate spam, illegal content, or deceptive claims;
• Misrepresent model outputs as guarantees of future results.

We may suspend or terminate access for abuse, security risks, or non-payment.

8. API, Quotas & Fair Use

GSC has API limits (e.g., 50,000 rows per request, property-level rate limits). We implement batching, sampling, and back-off to respect quotas. For stability, we may throttle heavy jobs (e.g., bulk exports) and queue tasks. Enterprise customers may request higher limits through support.

9. AI & Modeling Features

Some features use machine learning or large language models (LLMs). These outputs are probabilistic and may be inaccurate or incomplete. You are responsible for reviewing AI-generated titles/descriptions/content and for complying with applicable advertising, disclosure, and IP laws.

We may use reputable processors to run models under confidentiality obligations. We do not sell Customer Data to third parties.

10. AI & Modeling Features

We may label features as Beta, Preview, or Experimental. Such features are provided as-is, may change or cease without notice, and may have different availability, reliability, or support levels.

11. Service Changes & Availability

We aim for high availability but do not guarantee the Service will be uninterrupted or error-free. We may modify or discontinue features with reasonable notice when feasible. Scheduled maintenance and upstream outages (Google/Shopify) may affect availability.

12. Intellectual Property

Topify owns the Service, software, and all related IP. You retain all rights to your Customer Data. You grant Topify a limited license to process Customer Data solely to provide the Service and improve core functionality. Feedback is welcome; by submitting feedback you grant us a royalty-free license to use it.

13. Confidentiality

Each party will protect the other’s non-public information with reasonable care and use it only for the purposes of these Terms. This does not apply to information that becomes public through no fault of the receiving party or is independently developed.

14. Security

We use industry-standard protections (encryption at rest/in transit, access controls, logging). You acknowledge that no system is 100% secure. Notify us promptly about suspected incidents: [email protected].

15. Warranties & Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TOPIFY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that results will be accurate, complete, or error-free, or that search rankings or revenue will improve.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOPIFY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT PAID BY YOU TO TOPIFY FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. Some jurisdictions do not allow certain limitations; in that case, the limitation applies to the fullest extent permitted.

17. Indemnification

You will defend, indemnify, and hold harmless Topify from any third-party claims and costs (including reasonable legal fees) arising out of your misuse of the Service, your content, or your violation of these Terms or applicable laws.

18. Term & Termination

These Terms begin when you install or first use the Service and continue until terminated. Either party may terminate for any reason with notice. We may suspend or terminate immediately for cause (e.g., abuse, legal risk, non-payment). Upon termination, your access ends and Section 12–20 survive.

19. Export Controls & Sanctions

You represent that you are not subject to sanctions and will not use the Service in violation of export control laws.

20. Governing Law; Disputes

These Terms are governed by the laws of Poland without regard to conflict-of-law rules. The courts located in Warsaw will have exclusive jurisdiction, and the parties consent to personal jurisdiction and venue there. You and Topify waive any right to a jury trial and to participate in a class action.

21. Changes to These Terms

• You may not assign these Terms without our written consent; we may assign to an affiliate or in connection with a merger or sale.
• If any provision is unenforceable, the rest remains in effect.
• These Terms, along with any Order, DPA, and referenced policies, form the entire agreement between you and Topify.
